Effective from May 01, 2022
These terms of use ("Terms of Use") apply to the use of the Rezzo app for smart devices ("Rezzo App") created by Astro Baltics OÜ ("Astro Baltics"). The purpose of the Rezzo app is to offer a convenient cardless payment solution. The Terms of Service apply to all users (“User”) who have downloaded the Rezzo App to their smart device. By downloading and using the Rezzo application and accepting the terms of use, the user confirms having read and accepted the terms of use.

1. General description of the Rezzo application
1.1 Astro Baltics enters into cooperation agreements with companies that wish to offer goods and/or services through the Rezzo application (“Merchant”). With the help of the Rezzo application, the user can pay for the goods and/or services provided by such merchant and use the merchant's service cards (customer loyalty cards, etc.) to the extent provided by the cooperation agreement between Astro Baltics and the Merchant.
1.2 Astro Baltics grants User a revocable, non-exclusive, non-sublicensable, free license to use the Rezzo App. The license is valid from the moment of downloading the application until the end of the use of the application (deletion of the application from the user's phone). Under the license, the User has the right to use the Rezzo Application within the limits of the functionalities described in the Terms of Use.
1.3 The User can enter in the Rezzo Application his bank and/or service cards (“Cards”) that he wishes to use. Astro Baltics will in no event become a party to the legal relationship with respect to any Card entered. Astro Baltics will not store any payment card data (see privacy policy for details). The possible payment methods in the Rezzo application are:
1.3.1 Mastercard, Visa;
1.3.2 debit cards
1.3.3 payment cards (customer loyalty cards).

1.4 The means of payment that can be used in the Rezzo Application depend on the cooperation agreement concluded between Astro Baltics, the company that processes the payments (in this case Global Pay) and the Merchant concerned. Astro Baltics does not always guarantee or promise the possibility of using all of these possible payment methods in the Rezzo app.
1.5 Astro Baltics acts as an information society service provider in the provision of the Application and is not party to any other agreement to be concluded between the User and a Merchant or between the User and third parties . Astro Baltics is not responsible for the performance of any such agreement.
1.6 In order to purchase goods or services through the Rezzo application, an agreement for the purchase of the goods or services is always concluded between the user and the relevant merchant. The sales contract is deemed concluded if the Merchant sends the User a confirmation of the order. Under no circumstances is Astro Baltics a party to this sales contract.
1.7 To have the goods delivered, the User may enter into a courier service contract with the Merchant or a third party designated by the Merchant. Under no circumstances is Astro Baltics a party to this courier service agreement.
1.8 An electronic receipt will be stored in the Rezzo App for each purchase made from Merchants. User can view e-receipts in Rezzo app for 6 months from purchase. If the User wishes to keep the receipts longer, the User can download the receipts or email them to themselves.

2. Using the Rezzo app to refuel
2.1 When the User goes to a service station, the pump to be used by the User will be identified. This can be done via:
2.1.1 location detection (geolocation);
2.1.2 license plate identification; Where
2.1.3 Scanning QR Codes.

2.2 In addition to these General Conditions of Use, the special conditions of the service station may apply. The terms and conditions of the refueling station will be notified to the User via the Rezzo Application before the first refueling transaction.

3. Using the Rezzo app to place orders
3.1 Through the pre-order function of the Rezzo App, the User can pre-order food and other products (“Products”) offered by Merchants for pre-order.
3.2 Merchants provide information about Products that can be pre-ordered (including Product descriptions and prices) through the Rezzo App. In addition to these Terms of Use, a Merchant's specific terms may apply. If such special conditions apply, the Merchant informs the User.
3.3 The User places the Products he wishes to pre-order from the selected Merchant in the Application basket and pays for his order by mobile payment. The paid order is recorded in the Merchant's business software. The Merchant confirms or refuses the order, depending on whether the order can be executed or not. In both cases, the User will be informed of the status of the order via the Application. If the order is confirmed, the Merchant will start to execute it. If the order is rejected, the money paid for the order will be returned to the User's account. Astro Baltics is not liable to the User for the proper execution of the order by the Merchant.
3.4 When ordering, the User selects the method and delivery time of the Products ordered. Delivery options may vary by Merchant (pick up, courier, select a time to complete the order, etc.). The Merchant presents the terms of delivery of the order to the User.
3.5 All delivery, collection or other times communicated to the User by the Merchant are estimates only. Neither Astro Baltics nor the Merchant guarantees that the order will be delivered, available for collection or consumed on site at the estimated time notified via the Application. These notified times may be affected, for example, by traffic jams and peak times.
3.5.1 Once the User has placed an order, the User can no longer cancel it. Therefore, the products placed in the shopping cart should be carefully examined before placing an order.
3.5.2 The pre-order feature of the Rezzo app is intended for persons aged 18 or over, and when placing orders, the user must comply with all applicable rules and regulations, including requirements relating to the purchase of alcohol and tobacco products. A Merchant and his partner (courier service provider) have the right to refuse to deliver an order to the User if the User does not present a valid photo ID, proving that he is elderly at least 18 years old.

4. File a complaint
4.1 The User has the right to lodge a complaint directly against a Merchant or another contracting party. Any dispute with third parties (including entities that issued Cards, a Merchant, a person who obtained access to the Rezzo Application without a legal basis) will be resolved by the User independently. Astro Baltics has the right to participate in litigation if Astro Baltics deems it necessary, but has no obligation to do so.
4.2 If the User has a complaint regarding the Rezzo App (i.e. not regarding agreements entered into through the App), the User may contact Rezzo at the email address info@rezzo.ca or at the legal address of Rezzo which can be obtained from the commercial register.

5. Prerequisites for using the Rezzo app
5.1 To use the Rezzo application, the user must download the Rezzo software to their smart device.
5.2 A prerequisite for using the Rezzo App is a functioning mobile data transmission service.
5.3 In order to use the Rezzo application, it is necessary for the user to create a user account and identify it by e-mail, mobile ID or Smart ID.g of our services and enable future improvements. Astro Baltics may process data for the purpose of improving performance and user experience.
5.4 During the first purchase, the User must add at least one valid means of payment.
5.5 The availability of specific features of the Rezzo Application may depend on the User's smart device, data transmission service and data transmission service provider.
5.6 The User is required to take measures to prevent unauthorized persons from accessing the Rezzo Account.
5.7 The User must keep the Rezzo App updated with the most recent version by downloading the latest version of the Rezzo App to their smart device through the appropriate channel.

6. Rezzo account closure
6.1 User has the right to stop using the Rezzo App at any time, by deleting the Rezzo App from their smart device. If the user wants to start using the Rezzo app again, the user needs to download it again on the smart device.
6.2 Deleting the Rezzo Application will not delete the User's Rezzo Account. To have the account deleted, the User can submit a request (“Close your account”) through our website.
6.3 If the User becomes aware or suspects that an unauthorized person has obtained or can access their Rezzo Account, the User is required to close the Rezzo App as soon as possible and contact Astro Baltics for assistance. .
6.4 Astro Baltics may close the User's Rezzo account without notice if there is any suspicion that unauthorized persons have gained access to the User's Rezzo account. Astro Baltics also has the right to close the account if there is a suspicion that the user has abused the Rezzo App and/or violated the obligations set out in the Terms of Service. Once the Rezzo account is closed, the User will no longer be able to use the Rezzo Application on his smart device.

7. Liability
7.1 Responsibility for the legality of transactions and operations carried out via the Rezzo Application and the resulting consequences rests with the User.
7.2 Astro Baltics offers the Rezzo App on an "as is" basis and is not obligated to guarantee flawless 24/7 operation of the Rezzo App. Astro Baltics makes no representations or warranties regarding the quality (including obvious or hidden defects) or fitness (fitness for normal or particular use) of the Rezzo App.
7.3 Astro Baltics accepts no liability for losses incurred as a result of the Rezzo App not functioning or being usable in the intended manner.
7.4 Astro Baltics is not liable to the User for the proper functioning of services provided by third parties through the Rezzo application, such as disruptions in the use of a bank card. A merchant can restrict, modify or discontinue the product offering in the Rezzo application. Astro Baltics is not responsible for the consequences of such a change.
7.5 Under no circumstances shall Astro Baltics be liable for the consequences of the closure of the User's Rezzo account or the entire Application.
7.6 In addition to the above limitations, Astro Baltics is in no way liable for direct property damage caused intentionally or through gross negligence.

8. Use of data
8.1 The use of the Rezzo application requires the processing of user data, including personal data, and its transfer to persons involved in the provision of services through the Rezzo application (eg merchant, bank).
8.2 The amount of data collected from the User depends on the requirements set by the Merchants. The Rezzo App only collects data necessary for the operation of the Rezzo App and/or the execution of agreements entered into through the Rezzo App.
8.3 Information on the processing of personal data is provided in the privacy policy.

9. Modification of the terms of use
9.1 Astro Baltics has the right to unilaterally modify the Terms of Service at any time, by notifying the User of the modification in the Rezzo App and on the Website. Users will be deemed to have been notified of a modification from the time Astro Baltics places the notice of modification on the Website and in a prominent place in the Rezzo Application. If the user does not agree with the modification, he must close the Rezzo application, delete it from the smart device and close the Rezzo account. By continuing to use the Rezzo Application, the User is deemed to have accepted the modification.
9.2 Astro Baltics may terminate the Rezzo App offer at any time.

10. Other Terms
10.1 In all matters not regulated by the Terms of Use, the relationship between Astro Baltics and the User shall be governed by the law and the principles of good faith and reasonableness.
